1. Agreement to These Terms

These Terms of Use (“Terms”) are a binding agreement between you and YO Sperm Test, doing business as Medical Electronic Systems (“MES,” “we,” “us” or “our”), 6345 Balboa Blvd., Encino, CA 91316.

They govern your use of yospermtest.com, our online store, and any purchase you make through it (together, the “Site”). By browsing the Site, creating an account or placing an order, you agree to these Terms and to our Privacy Policy and Shipping, Exchange & Refund Policy. If you do not agree, please do not use the Site.

Please note: Section 13 includes a binding arbitration agreement and class action waiver.

The YO app is separate. These Terms do not cover the YO mobile app. Use of the app is governed by the YO App Terms of Use and App Privacy Policy presented in the app.

2. Our Shopify Store

The Site is hosted on Shopify, an e-commerce platform that provides our online store, shopping cart and checkout.

• Your order is placed with MES, not with Shopify. MES is the seller of every product on the Site.
•  Payments are processed by Shopify Payments and other payment providers we offer at checkout, such as Shop Pay, PayPal, Apple Pay or Google Pay. We do not see or store your full card number.
• If you use Shop Pay or create a Shop account, Shopify’s own terms and privacy policy also apply to that service.
• Some Site features, such as reviews, live chat, email signup or loyalty programs, may be provided by third-party apps installed in our store [UpPromote].

3. Eligibility and Accounts

•  You must be at least 18 years old, or the age of majority where you live, to buy from the Site.
• You can check out as a guest or create a customer account to save your details and view past orders.
• Keep your login details secure and your information accurate. You are responsible for activity on your account.
• Tell us right away at support@yospermtest.com if you think someone has accessed your account without permission.
• We may suspend or close accounts that violate these Terms.

4. Products and Medical Disclaimer

The YO Home Sperm Test is an FDA-cleared, over-the-counter screening test for use at home. Information on the Site, including blog posts, FAQs, videos and doctor quotes, is for general education only.

• Nothing on the Site is medical advice, and the Site does not diagnose any condition.
• Always talk to a qualified healthcare provider about your fertility or health questions.
• Use every product only as described in its labeling and Instruction Manual.
• Do not use the Site for emergencies. If you have a medical emergency, call 911 or your local emergency number.

Product details. We work to describe products, images and prices accurately. Colors and packaging may vary slightly, and we do not guarantee that every description is error-free. If a product is not as described, your remedy is set out in Section 6.

5. Orders, Pricing and Payment

•  Orders. Your order is an offer to buy. We accept it when we ship it, not when you receive an order confirmation email.
• Our right to cancel. We may limit quantities, or refuse or cancel any order, including suspected fraud, resale purchases, or orders with a pricing or listing error. If we cancel after charging you, we will refund you in full.
• Prices. Prices are in U.S. dollars and may change at any time. The price that applies is the one shown at checkout.
• Taxes. Sales tax is calculated at checkout based on your shipping address.
• Payment. By submitting an order, you confirm you are authorized to use the payment method and authorize us and our payment processors to charge it.
• Discount codes. Codes have no cash value, cannot be combined unless stated, may expire, and may be changed or withdrawn at any time.
•  Wholesale. Clinic, distributor and bulk purchases are handled through mes-global.com under separate terms.

6. Shipping, Returns and Warranty

Our Shipping, Exchange & Refund Policy is part of these Terms. In short:

• Shipping. Orders placed before 12 noon Pacific, Monday through Friday (excluding holidays), ship the same business day in discreet packaging. Delivery dates are estimates.
•  Risk of loss. Title and risk of loss pass to you when we hand your order to the carrier.
• International orders. You are responsible for duties, taxes and VAT, and for confirming that home sperm test kits may be imported and used in your country.
•  Returns. YO test kits are over-the-counter medical devices and cannot be returned once shipped. Please do not send kits back to us.
• Merchandise returns. [Confirm policy for plush merchandise, e.g. unused items within 30 days of delivery.]
• 30-day warranty. YO test kits are warranted to perform according to MES’s published claims for 30 days from purchase. If a kit fails, email support@yospermtest.com with your order number and we will replace it or refund you. The warranty does not cover misuse, use other than as directed, or improper storage or handling.

7. Reviews and Content You Submit

If you post a review, comment, question, photo or testimonial on the Site:

•  it must be honest, based on your own experience, and not include anyone else’s personal or health information;
• you must disclose any free product, payment or affiliate relationship connected to it;
• you give MES a non-exclusive, royalty-free, worldwide license to display, reproduce and use it on the Site and in our marketing; and
•  we may moderate or remove any content at our discretion. We publish reviews regardless of rating, and we remove only content that breaks these rules.

8. Email and Text Messages

•  If you sign up for our newsletter, we will send marketing emails. You can unsubscribe at any time using the link in any email.
• If you opt in to text messages, you agree to receive recurring automated marketing texts from MES at the number you provide. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to cancel or HELP for help. [Confirm SMS provider and message frequency.]
• We will still send transactional messages about your orders.

9. Affiliates and Partners

Some links to the Site come from affiliates or partners who may earn a commission on purchases. Affiliates are independent and cannot make medical claims or binding promises for MES. Our affiliate program has separate terms.

10. Acceptable Use

When using the Site, you agree not to:

• break any law or use the Site for fraud, including using stolen payment methods;
• buy products for unauthorized resale;
• copy, scrape or harvest Site content or customer information, including with bots;
• interfere with the Site’s security, or upload viruses or harmful code;
• post false, misleading, offensive or infringing content; or
• use the Site from a U.S.-embargoed country or while on a U.S. government restricted-party list.

11. Intellectual Property and Third-Party Links

YO, YO Home Sperm Test, the YO logo, and all Site text, images, videos and design are owned by or licensed to MES and protected by law. You may view and print Site pages for personal, non-commercial use. Any other use requires our written permission.

The Site links to third-party websites, such as social media, Shopify and payment providers. We are not responsible for their content or practices.

12. Disclaimers and Limitation of Liability

EXCEPT FOR THE 30-DAY PRODUCT WARRANTY IN SECTION 6, THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR VIRUS-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, MES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow these exclusions or limits, so they may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

You agree to indemnify MES against third-party claims arising from your misuse of the Site or violation of these Terms.

13. Disputes and Arbitration

•  Contact us first. Email support@yospermtest.com and give us 30 days to resolve the issue informally.
• Arbitration. Any unresolved dispute will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Los Angeles County, California, or by phone or video if you prefer.
• Exceptions. Either of us may bring an individual claim in small claims court.
• Class action waiver. Claims may be brought only individually, not as part of a class or representative action.
• Opt out. You can opt out of arbitration by emailing support@yospermtest.com within 30 days of first accepting these Terms.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to Section 13, any court action will be brought in the state or federal courts in Los Angeles County, California.

15. Changes and General Terms

• We may update these Terms by posting a new version with a new “Last updated” date. Changes do not apply to orders placed before the update.
• If any part of these Terms is unenforceable, the rest remains in effect.
• Our failure to enforce a provision is not a waiver.
• You may not transfer your rights under these Terms. We may transfer them as part of a merger, acquisition or sale of assets.
• These Terms and the policies linked in them are the entire agreement between you and MES about the Site.
